Anthropic's IPO Highlights Unique Governance Structure
Anthropic's forthcoming IPO will bring attention to its distinctive governance structure, the Long-Term Benefit Trust (LTBT), which holds significant influence over the company's board despite not owning any equity. The LTBT is designed to ensure that Anthropic's mission remains focused on the long-term benefit of humanity.
The LTBT currently comprises three trustees, with the capacity to expand to five. These trustees have the authority to appoint four out of seven board directors, including notable figures such as Reed Hastings, co-founder of Netflix, and Vas Narasimhan, CEO of Novartis. The current trustees are Neil Buddy Shah, who serves as chair, former Federal Reserve Chair Ben Bernanke, and Richard Fontaine, CEO of the Center for a New American Security.
Trustees are granted advance notice of major company actions, such as new model launches, and meet weekly among themselves and biweekly with company leadership. Additionally, they attend regular board meetings, ensuring they remain informed and engaged with Anthropic's strategic direction.
A notable feature of the LTBT is its 'kill-switch' mechanism, which allows for its removal only with the support of 85% of shareholders' voting power. This supermajority requirement is subject to change post-IPO, offering a potential avenue for investors to align the trust's actions with market expectations.
This governance model is perceived as more flexible than OpenAI's foundation model, providing a balance between mission alignment and investor accountability.
